Terms of Use

1. Acceptance of Terms

By accessing or using Verba AI ("Platform", "Service", "we", "us", "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, you must not use the Platform.

These Terms apply to all users, including business customers, authorized team members, and administrators.

2. Description of Services

Verba AI provides AI-powered tools including:

  • Internal team chat assistants
  • AI chatbots embedded on customer websites or applications
  • AI-powered tools that assist in drafting customer communications (including email responses), subject to human review and approval

The Platform is provided as a productivity and support tool and does not replace professional judgment.

3. Eligibility and Account Responsibilities

You must be at least 18 years old to use the Platform.

You agree to:

  • Provide accurate registration information
  • Maintain the security of your login credentials
  • Restrict access to authorized users only
  • Notify us immediately of unauthorized access

You are responsible for all activity conducted under your account.

4. AI Output Disclaimer and Human Oversight

4.1 No Guarantee of Accuracy

AI-generated outputs may be incomplete, inaccurate, biased, or inappropriate. The Platform does not guarantee correctness, reliability, or suitability of any generated content.

4.2 Human Review Requirement

You acknowledge and agree that:

  • AI-generated responses, drafts, and recommendations must be reviewed and approved by a human before external use or customer communication
  • You remain fully responsible for the content you choose to use or send

Verba AI is not responsible for decisions or actions taken based on AI-generated outputs.

5. User Content and Data Ownership

5.1 Customer Content

You retain ownership of all content you upload, submit, or generate using the Platform ("Customer Content").

By using the Platform, you grant us a limited, non-exclusive license to process Customer Content solely for the purpose of providing and operating the Service.

5.2 Platform Intellectual Property

All Platform software, interfaces, AI systems, branding, and underlying technology remain the exclusive property of INSCALE A/S.

No ownership rights are transferred to users.

6. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable law or regulation
  • Send spam, phishing, or deceptive communications
  • Process personal data unlawfully
  • Harass, threaten, or abuse others
  • Upload malicious code or harmful content
  • Attempt to bypass security safeguards
  • Reverse engineer or exploit platform systems
  • Generate illegal, defamatory, or harmful content

We reserve the right to suspend or terminate accounts engaged in prohibited use.

7. Data Protection and Privacy

Use of the Platform is subject to our Privacy Policy, which forms part of these Terms.

Where applicable:

  • We act as a Data Processor for chatbot and AI interaction data processed on behalf of business customers
  • You remain responsible for compliance with data protection laws regarding their end users

Enterprise customers may be required to enter into a Data Processing Agreement (DPA).

8. Service Availability and Modifications

We strive to maintain service availability but do not guarantee uninterrupted access.

We may:

  • Modify platform features
  • Add or remove functionality
  • Perform maintenance
  • Temporarily suspend services

without any liability for service interruptions.

9. Fees and Payment (If Applicable)

If paid plans are offered:

  • Fees are billed according to your selected plan
  • Payments are non-refundable unless otherwise stated
  • Failure to pay may result in account suspension

Detailed pricing terms may be provided separately.

10. Third-Party Services and Integrations

The Platform may integrate with third-party tools and services.

We are not responsible for:

  • Third-party service availability
  • External platform policies
  • Data handling practices of integrated services

Use of third-party tools is subject to their respective terms.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

Verba AI shall not be liable for:

  • Indirect, incidental, consequential, or special damages
  • Loss of profits, revenue, data, or business opportunities
  • Errors or inaccuracies in AI-generated outputs
  • User reliance on AI-generated content

Our total liability shall not exceed the amount paid by you to us in the preceding 12 months.

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available."

We disclaim all warranties, including:

  • Fitness for a particular purpose
  • Accuracy of AI outputs
  • Non-infringement
  • Continuous availability

13. Indemnification

You agree to indemnify and hold harmless from claims, damages, losses, or liabilities arising from:

  • Your use of the Platform
  • Your Customer Content
  • Violation of these Terms
  • Unlawful communications sent using the Platform

14. Suspension and Termination

We may suspend or terminate your account if:

  • You breach these Terms
  • You engage in prohibited activity
  • Required by law or regulatory authority

Upon termination:

  • Access will be disabled
  • Data will be handled according to the Privacy Policy
  • Outstanding fees remain payable

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Denmark, without regard to conflict of law principles.

Any disputes shall be resolved in the courts of the applicable jurisdiction.

16. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
